1. Acceptance of Terms

Please read these Terms of Service ("Terms") carefully. By installing, accessing, or using the Message Folders Google Chrome extension (the "Extension"), or by visiting the website at https://messagefolders.com (the "Site"), you agree to be legally bound by these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have full authority to bind that entity. If you do not agree to all terms and conditions outlined herein, you must immediately uninstall the Extension and refrain from using the Site and Services.

2. Services & License Grant

Message Folders provides client-side user interface productivity tools designed to organize, categorize, tag, and filter conversations within supported web messaging interfaces (Facebook Messenger, Facebook Marketplace, Instagram Direct, LinkedIn Messaging, and Skool).

Subject to your compliance with these Terms, Message Folders grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to download, install, and execute the Extension in Google Chrome or compatible Chromium-based web browsers for your personal or internal business productivity purposes.

3. Free vs. Pro Plans

Message Folders provides two primary service tiers:

We reserve the right to reasonably modify the features and limitations of each plan, provided that existing paid subscriptions will maintain their contracted benefits through the end of the active prepaid billing cycle.

4. Third-Party Platform Disclaimer

You acknowledge and agree that:

• Independent Client Overlay: The Extension operates exclusively within your local browser, temporarily restructuring DOM elements to render folder tags and collapsible controls. It does not run automated scraping bots, send bulk automated messages, or manipulate backend server APIs.
• Compliance with Platform Rules: You remain solely responsible for adhering to the respective Terms of Service, Community Standards, and acceptable use guidelines of each platform you use (e.g. Meta Terms of Service, LinkedIn User Agreement, Skool Community Guidelines).
• Platform UI Alterations: Because third-party platforms frequently update their web designs, DOM tree structures, and stylesheets, certain features of the Extension may occasionally be disrupted until an extension update is published. We make reasonable commercial efforts to update the Extension promptly when platforms change.

5. Billing, Cancellations & Refunds

A. Billing Processing

Pro tier subscriptions and lifetime access purchases are processed via ExtensionPay and Stripe. By subscribing to a paid plan, you authorize recurring payments (monthly or annual) charged to your provided payment method until you cancel.

B. Cancellation

You can cancel your recurring Pro subscription at any time without penalty. You can manage and cancel your billing directly through:

• The "Manage Billing" link in the Message Folders extension popup.
• The ExtensionPay customer portal at https://extensionpay.com using the email address associated with your purchase.

Upon cancellation, your Pro benefits will remain active until the conclusion of your current prepaid billing cycle, after which your account will revert to the Free Plan.

C. Refund Policy

We want you to be completely satisfied with Message Folders. If you find that the Extension does not meet your expectations, we offer a 14-day money-back guarantee for initial subscription or lifetime license purchases. To request a refund, please contact support@messagefolders.com within 14 calendar days of your initial purchase with your transaction details.

6. Acceptable Use & Prohibited Conduct

You agree to use Message Folders solely for lawful and ethical productivity purposes. You agree that you will not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Extension, except to the extent permitted by applicable mandatory law.
• Circumvent, bypass, disable, or tamper with the Extension's licensing checks, folder limits, or payment mechanisms.
• Sell, rent, lease, sublicense, distribute, or commercially exploit the Extension to third parties without prior written authorization.
• Use the Extension in connection with any automated messaging spam, unauthorized mass outreach, harassment, or violations of privacy laws.
• Interfere with or compromise the security, integrity, or availability of the Site, ExtensionPay billing systems, or third-party web platforms.

7. Intellectual Property Rights

The Message Folders name, logo, custom user interface components, software codebase, icons, visual designs, and documentation are the exclusive property of Message Folders and are protected by applicable intellectual property and copyright laws.

All third-party brand names, logos, and trademarks displayed on the Site or Extension (including Facebook, Instagram, LinkedIn, and Skool) remain the property of their respective trademark owners and are referenced solely for nominative identification of compatibility.

8. Updates & Site Compatibility

We continually improve Message Folders and may release updates, patches, bug fixes, or enhancements from time to time. Updates to the Extension are typically installed automatically through the Google Chrome Web Store update mechanism.

While we strive for continuous compatibility with supported platforms, we do not guarantee uninterrupted or error-free operation, as external platforms may make sudden breaking modifications to their web codebases.

9. Disclaimer of Warranties

WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE PROMPTLY DETECTED OR CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL MESSAGE FOLDERS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE EXTENSION OR SITE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS EXCEED THE GREATER OF: (A) THE AMOUNTS ACTUALLY PAID BY YOU TO MESSAGE FOLDERS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS ($50.00 USD).

11. Indemnification

You agree to defend, indemnify, and hold harmless Message Folders, its creators, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or legal fees arising out of or relating to your violation of these Terms, your misuse of the Extension, or your violation of any third-party rights or platform terms.

12. Termination

You may terminate this agreement at any time by uninstalling the Extension and discontinuing all use of our services. We reserve the right to suspend or terminate your license to use the Extension or Services immediately, with or without notice, if you materially breach any provision of these Terms or engage in fraudulent activities.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Message Folders is operated, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith informal negotiations between the parties before initiating formal legal proceedings.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our discretion. When updates are made, we will update the "Last Updated" date at the top of this document. Continued use of the Extension or Site after the effective date of revisions constitutes your affirmative acceptance of the revised Terms.
